Advertiser Agreement

The Advertiser shall agree to all terms and conditions set forth in this Advertiser Agreement (hereinafter “Agreement”). The Company may, at any time, choose to edit, add and/or delete portions of this agreement and impose changes without prior notification of its registered Advertisers (hereinafter “Advertisers”). Instad Web Services Pvt. Ltd. (OPC) is the parent company of Adviuz.in; any reference to Adviuz.in is by incorporation a reference to Instad Web Services Pvt. Ltd. (OPC).

Adviuz.in is interactive way for Advertisers to advertise their business by means of Paperless Pamphlets which includes digital promotion mediums specific to SMS, Emails, Facebook, App promotion,Videos, Banners, Social Media promotion etc. Adviuz.in can not guarantee any Advertiser generated profits.

I. Eligibility:

Adviuz.in is open to all Indian as well as International Advertisers and is void where prohibited by local governing laws. Advertisers are responsible for knowing the local laws of where he or she accesses our service. Furthermore, Adviuz.in is not responsible for any legal ramifications of the Advertiser’s access to Adviuz.in.

In an effort to ensure the integrity of the Adviuz.in, the persons in any of the following categories are NOT eligible to participate in the Adviuz.in advertising program in the capacity of the Advertiser;

(a) persons who are employees or agents of Adviuz.in, or its respective parents, subsidiaries, affiliated companies, or service agencies, or independent contractors of any of the above organizations; and
(b) persons who are immediate family (defined as mother, father, sister, brother, daughter, son or spouse) of any person in any of the preceding categories, regardless of where they live.

Nothing herein shall be construed to prohibit a person’s right to maintain an Adviuz.in account for advertising purposes nor does this policy restrict the promotion of a person’s affiliate link.

II. Responsibilities of Advertisers:

Advertisers shall provide his or her legal name and valid email address at all times when using Adviuz.in.
Advertisers shall not assume a false identity or use an invalid email address or the email address of someone else. Advertisers shall not use multiple usernames at same IP, this will lead to inability to Log advertiser account. Advertisers must ensure his or her computer is not shared with another individual that has an existing Adviuz.in account.
Advertisers are forbidden to access Advertiser panel from a proxy, VPN and any similar methods. This will lead to a permanent termination of the account.
Advertisers shall keep their username / password combination to access the Advertiser panel account confidential. It is the Advertiser's responsibility to keep this information confidential at all times. Adviuz.in is not responsible for any Advertiser’s lost or stolen access information.
It is responsibility of Advertiser to provide accurate content for advertising as requested by adviuz.in.
It is responsibility of Advertiser to provide accurate details for invoicing as requested by adviuz.in
It is responsibility of Advertiser to approve the design
It is responsibility of Advertiser to define his target audience
It is responsibility of Advertiser to verify activation of his advertiser account
It is responsibility of Advertiser to review ad previews across multiple advertising platforms received via mail before starting campaign.
It is responsibility of Advertiser to start or pause the campaign.
It is responsibility of Advertiser to report any changes in design.
It is responsibility of Advertiser to pay due payments on time.
It is responsibility of Advertiser to report issues with the campaign.

a.) Advertiser’s Behavior

In the event Adviuz.in detects any instances of fraud, system abuse, defamation, harassment, foul language, inappropriate conduct or any type of account activity deemed to be inappropriate or illegal in the sole discretion of Adviuz.in, these actions may result in Advertiser Account Termination and possible legal action as well as forfeiture of any paid money of the Advertiser from Adviuz.in.

In the event that the Advertiser has taken inappropriate action in attempting to cheat, steal, lie or any action that would violate the Adviuz.in Advertiser Agreement or the Advertiser Agreement of any Third party company that Adviuz.in has a partnership agreement with, Adviuz.in may in its own discretion, turn over any and all evidence, information, personal data and logs to third parties including law enforcement agencies, for possible prosecution or investigation.

b.) Advertiser Account

Advertiser account enabled advertiser to check reports of pamphlets views done, pamphlets views renaming, pamphlets design.
Advertiser account enabled advertiser to start and pause the campaign.
Advertiser account enable advertiser to upload their own database for marketing purpose.

c.) Advertisement Content:

Advertiser is totally responsible for his/her advertisement content and Adviuz.in is not responsible for any negative or positive consequences or if raised due to whatsoever type of content. The Advertiser shall not use advertising space or packages to promote any illicit or explicit materials including but not limited to the following subjects; pornography, spreading of hate or discrimination, gambling, firearms, tobacco, drugs, a sexual nature/ sexual theme or is meant for an adult audience, sale of drug paraphernalia or pharmaceutical drugs, the sale of weapons such as guns, knives or explosives ,or any other illegal activity, abusive language either written or vocal or any mean or prohibited subject area as defined by Adviuz.in. These prohibited topics are subject to change at any time by Adviuz.in.

d.) Recharge & Top-up:

Advertisers need to purchase Quantity of Pamphlets views + Design Package together to complete the recharge. After consumption, advertiser need to top-up their accounts on time.

e.) Content updation:

It is responsibility of Advertiser to inform us in case of any change required to update the Pamphlet or campaign. Turn around time may vary

f.) Process:

Advertisers need to buy Pamphlet views + Design service by doing recharge.
Design will be started only after clearance of the payment.
It is the responsibility of advertiser to submit the content as requested by adviuz.in
After the content is submitted, design of Digital Pamphlet or Landing Page will be submitted to advertiser for approval in generally 3 working days, this time may vary.
After the approval of design, it will be installed into our system.
After Installation, advertiser will be notified and provided with login details for advertiser panel to start the campaign.
Once Campaign gets started, system will make the content live into multiple Advertising Platforms.
Whole process of designing & account setup will take between 7 to 15 days after the receipt of content. This timeline is tentative and may vary for client to client.

g.) Sending vs Views vs inquiries:

Sending is defined as total count of data used to achieve purchased pamphlet views. You won't be charged on the basis of total data used.

Pamphlet view is defined as count which get triggered when someone stays on your digital pamphlets for at least 25 seconds. You will be charged on the basis of view count.

Inquiry is defined as an action where viewer provides his information. Adviuz.in is a digital pamphlet distribution platform which charges advertisers for advertising their ads & hence doesn't provide guarantee on inquiries or lead generation.

h.) Data security:

Data provided by advertiser like emails, phones, images etc will be integrated to their account only & will not be shared.

III. Relationship of the Parties:

Nothing in this Advertiser Agreement creates any partnership, joint venture, agency, franchise, sales representative or employment relationship between you and Adviuz.in.
Advertisers shall have no authority to make or accept any offers or make any representations on behalf of Adviuz.in.
Advertisers may not make any statement, whether on a personal website or otherwise, that would contradict anything in this section.
Advertisers are solely responsible for the reporting and payment of any taxes for money earned from Adviuz.in.

IV. Limitation of Liability:

Adviuz.in will not be liable for lost profits, lost business opportunities, or any other indirect, special, punitive, incidental or consequential damages arising out of or related to this Agreement or Adviuz.in.
The provisions of this section survive termination or expiration of the Agreement. Adviuz.in makes no express or implied warranties or representations with respect to the Advertiser program or any services or other items advertised through Adviuz.in. This including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).
Adviuz.in makes no representation that the operation of Adviuz.in will be uninterrupted or error-free, and shall not be liable for the consequences of any interruptions or errors. Adviuz.in is not responsible in the event of Advertiser’s network or system becomes infected with malware, virus or other program that affects the performance. It shall be the Advertiser’s responsibility to maintain industry-standard anti-virus and anti-malware program on their system.

V. Indemnification:

The Advertiser hereby agrees to indemnify, defend and hold harmless Adviuz.in, its officers, directors, employees, agents, Advertisers, successors and assigns, from and against any and all claims, losses, liabilities, damages or expenses (including attorney’s fees and costs) of any nature whatsoever incurred or suffered by us (collectively the “Losses”).

VI. Information Rights:

Adviuz.in may, at its sole discretion retain and use, subject to the terms of the Adviuz.in Privacy Policy all “Advertiser Provided Information”.
Advertiser Provided Information shall be defined as but is not limited to site demographics and contact and billing information.
Advertisers shall agree that Adviuz.in may transfer and disclose to third parties Personally Identifiable Information about the advertiser for the purpose of approving and enabling your participation in the program, including to third parties that reside in jurisdictions with less restrictive data laws than the Advertiser.
Adviuz.in may also provide information in response to valid legal process, such as subpoenas, search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. Adviuz.in disclaims all responsibility, and will not be liable to the Advertiser for any disclosure of any information by any such third party.
Adviuz.in may share Non-personally Identifiable Information about the Advertiser, including site URLs, site-specific statistics and similar information collected by Adviuz.in, with third parties including, but not limited to, advertisers, business partners, sponsors, and other third parties. The Advertiser grants Adviuz.in the right to access, index and cache the site(s), or any portion thereof, including by automated means.

VII. Advertiser Fraud:

Advertiser fraud is strictly prohibited and enforced.
Adviuz.in shall investigate any and all suspected instances of Advertiser fraud.
Advertisers agree to submit to any investigation including to supply Adviuz.in with proper and current government identification. These requests must be honored within seven business days, or the Advertiser’s account may be suspended or terminated by Adviuz.in at their sole discretion.
Furthermore, any credits or value owed or pending to the Advertiser are subject to forfeiture in the case of Advertiser fraud.

VIII. Offers:

All offers made to audience via Adviuz.in are made by advertiser and not by Adviuz.in.
The advertisers are responsible for all compensation offers, validation, and discounts.
All Advertiser disputes stemming from any offer, issues of validation and or discounts must be directed at these advertisers and not on Adviuz.in.

IX. Payments & Refund:

All the payment made against purchase of our service enables advertisers to enjoy variable benefits according to the plan they chose.
All the payments made against days plans will have validity as mentioned in plan.
All the payments made are Full and final. Payments once made will not be refundable in any case.

X. Miscellaneous:

This Agreement is subject to periodic change and alterations. Adviuz.in will post the latest update at the bottom of homepage, by continuing to use Adviuz.in, a Advertiser shall give their implied acceptance to the new terms of this Agreement.
Adviuz.in might modify its services price list, incentive program or any other aspect of the website at any time without prior notification.
This Agreement will be governed by the laws of INDIA, without reference to rules governing choice of laws. Any action relating to this Advertiser Agreement or any products or services of Adviuz.in must be brought in the Provisional court in Pune and the Advertiser consents to the jurisdiction of such courts. Subject to that restriction, this Advertiser Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Adviuz.in failure to enforce the Advertiser’s strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Advertiser Agreement.
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND ADVIUZ.IN AND BY REGISTERING THE ADVERTISER AGREES TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS ADVERTISER AGREEMENT. BY ACCEPTING THIS ADVERTISER AGREEMENT YOU ARE HEREBY BOUND TO THE RULES AND GUIDELINES LISTED ABOVE. PLEASE READ THIS ENTIRE ADVERTISER AGREEMENT CAREFULLY BEFORE ACCEPTING ITS TERMS.
